Welcome to LENS LiST! The terms “we”, “us” and “our” refer to LENS LiST. LENS LiST operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the “Services”). LENS LiST is powered by Shopify, which enables us to provide the Services to you. 
The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

By using this website, including browsing, registering for an account, or placing an order, you are deemed to have reviewed and agreed to our applicable policies.

Once an order is confirmed, you are deemed to have agreed to the policies applicable to that order at the time the order is confirmed.

The content of this website and our policies are prepared in Japanese. Versions in other languages are provided for reference only. If there is any discrepancy or difference in interpretation between the Japanese version and a translated version, the Japanese version will prevail.

 

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage. 
To use the Services, including accessing or browsing our online stores or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide in our stores is correct, current and complete and that you have all rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 - OUR PRODUCTS
We have made every effort to provide an accurate representation of our products and services in our online stores. However, please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration.
We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or be the same as depicted or rendered in our online stores.
All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis.

SECTION 3 - ORDERS
When you place an order, you are making an offer to purchase. LENS LiST reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until LENS LiST confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as LENS LiST may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the e‑mail, billing address, and/or phone number provided at the time the order was made.
Your purchases are eligible for return or exchange only in accordance with our Refund Policy.
You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

If you order contact lenses that require a prescription, you must submit a valid prescription for us to verify before shipment. After placing your order, please upload a clearly legible image or PDF of your prescription through our Prescription Information page. We will check it against your order details.

Your order will remain on hold and will not be shipped until we have received and verified your prescription. If we are unable to verify your prescription, we will contact you and will not ship your order until verification is complete. 

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.
Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We may offer, from time to time, promotions on the Services that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our stores. You agree to promptly update your account and other information, including your email address, credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
You represent and warrant that (i) the credit card information you provide is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any.

SECTION 5 - SHIPPING AND DELIVERY 
We are not liable for shipping or delivery delays. All delivery dates are estimates only and are not guaranteed. Orders are shipped within three business days, counted from the day after the order date. However, the time spent awaiting receipt and completion of verification of your prescription is not included in this three-business-day period.

We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we hand the products over to the carrier, ownership and the risk of loss or damage pass to you.

SECTION 6 - INTELLECTUAL PROPERTY
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by LENS LiST, its affiliates or licensors and are protected by U.S. and foreign patent, copyright and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of LENS LiST, Shopify or any third party. Unauthorized use of the Services may be a violation of federal and state intellectual property laws. All rights not expressly granted herein are reserved by LENS LiST.
LENS LiST’s names, logos, product and service names, designs, and slogans are trademarks of LENS LiST or its affiliates or licensors. You must not use such trademarks without the prior written permission of LENS LiST. Shopify’s name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

SECTION 7 - OPTIONAL TOOLS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.

The Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third party functionality). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third party sites, you do so at your own risk.
We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

LENS LiST is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with LENS LiST. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and LENS LiST, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with LENS LiST.

SECTION 10 - PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy. Certain personal information may also be subject to Shopify’s Privacy Policy, which is available at https://www.shopify.com/legal/privacy/consumers.

By using the Services, you acknowledge that you have read and understood these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services to provide and improve the Services for you.

You agree that your Feedback will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your Feedback will not contain libelous or otherwise unlawful, abusive or obscene Feedback, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website. In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, spider, crawl, or scrape; or (e) interfere with or circumvent the security features of the Services or any related website, other websites, or the Internet. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.

We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.
The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL LENS LiST, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 17 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless LENS LiST, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys’ fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims, including by providing relevant documents.

SECTION 18 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 19 - WAIVER; ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Japan. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Osaka District Court as the court of first instance, without prejudice to any mandatory consumer protection rights available to you under the laws of your country of residence.

We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes to these Terms in accordance with applicable law, and such changes will be effective on the date specified in the notice. Your continued use of or access to the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

SECTION 24 - LOYALTY POINTS
We do not operate a loyalty points program at either our physical stores or our online store. Accordingly, no points are awarded for purchases, and points cannot be earned or redeemed, regardless of where the purchase is made.

お客様は、アカウント認証情報の安全な管理およびアカウント上で行われるすべての活動について、単独で責任を負うものとします。お客様は、アカウントを他人に譲渡、販売、移転または使用許諾してはなりません。

第2条　当社の商品

当社は、本オンラインストアにおいて、商品およびサービスを正確に表示するよう努めています。ただし、ストアへのアクセスに使用する端末の種類、設定および構成により、商品の色または外観が、お客様の画面上での表示と異なる場合があります。

当社は、お客様が購入した商品またはサービスの外観もしくは品質がお客様の期待を満たすこと、または本オンラインストアに表示もしくは描写されたものと同一であることを保証しません。

商品の説明は、当社の独自の判断により、予告なくいつでも変更される場合があります。当社は、いつでも商品を販売終了する権利を有し、個別の事情に応じて、提供する商品の数量を、特定の個人、地域または管轄区域に対して制限する場合があります。

第3条　注文

お客様が注文を行うことは、商品を購入する申込みを行うことを意味します。LENS LiSTは、自己の裁量により、理由の如何を問わず、お客様の注文を承諾または拒否する権利を有します。LENS LiSTが注文の承諾を確認するまで、注文は成立しません。当社は、注文を承諾する前に、お客様の支払いを受領し、処理する必要があります。

注文を送信する前に、内容をよく確認してください。注文が承諾された後は、キャンセルのご要望に対応できない場合があります。

当社が注文を承諾しない場合、注文内容を変更する場合、または注文をキャンセルする場合、注文時に提供されたメールアドレス、請求先住所および／または電話番号に連絡して、その旨をお知らせするよう努めます。

お客様による購入は、当社の返金ポリシーに従う場合に限り、返品または交換の対象となります。

お客様は、購入する商品がご自身またはご家庭で使用するためのものであり、商業目的での再販売または輸出を目的とするものではないことを表明し、保証するものとします。

処方箋が必要なコンタクトレンズをご注文の場合、発送前に有効な処方箋をご提出いただき、当店による確認が必要です。ご注文後、処方箋がはっきり読み取れる画像またはPDFを処方箋情報ページからアップロードし、提出してください。ご注文内容と照合して確認します。

処方箋の受領と確認が完了するまで、ご注文は保留となり、発送いたしません。処方箋を確認できない場合は、お客様へご連絡し、確認が完了するまで発送を行いません。

第4条　価格および請求

価格、割引およびキャンペーンは、予告なく変更される場合があります。商品またはサービスに対して請求される価格は、注文時点で有効な価格であり、注文確認メールに記載されます。

別途明示されていない限り、本オンラインストアに表示される価格には、税金、送料、取扱手数料、関税または輸入料金は含まれていません。

本オンラインストアに表示される価格は、実店舗または第三者が運営するオンラインストアその他の店舗で提供される価格と異なる場合があります。

当社は、本サービスにおいて随時、価格に影響を及ぼすキャンペーンを実施する場合があります。これらのキャンペーンには、本規約とは別の利用条件が適用されます。キャンペーンの利用条件と本規約との間に矛盾がある場合は、キャンペーンの利用条件が優先します。

お客様は、本ストアで行うすべての購入について、最新、完全かつ正確な購入情報、決済情報およびアカウント情報を提供することに同意するものとします。お客様は、取引を完了し、必要に応じて当社が連絡できるよう、メールアドレス、クレジットカード番号および有効期限など、アカウントその他の情報を速やかに更新することに同意するものとします。

お客様は、次の事項を表明し、保証するものとします。

(1) 提供するクレジットカード情報が真実、正確かつ完全であること。
(2) 購入のために当該クレジットカードを使用する正式な権限を有していること。
(3) お客様が負担した料金が、クレジットカード会社によって承認されること。
(4) 送料、取扱手数料および適用される税金を含め、表示された価格でお客様が負担する料金を支払うこと。

当社は、発送または配送の遅延について責任を負いません。配送予定日はあくまで目安であり、保証されるものではありません。ご注文日の翌日から起算して3営業日での出荷となりますが、3営業日のカウントには処方箋の受領・確認が完了するまでの日数は含まれません。

当社は、配送業者、税関手続きまたは当社の管理の及ばない事由によって生じた遅延について責任を負いません。当社が商品を配送業者に引き渡した時点で、商品の所有権および滅失・毀損のリスクはお客様に移転します。

お客様のご都合による注文のキャンセルは、原則としてお受けしておりません。ただし、注文内容の変更を希望される場合は、変更のためのキャンセルを承ることがあります。キャンセルをご希望の場合は、商品の発送準備状況によって対応できない場合がありますので、できるだけ速やかに当社までお問い合わせください。

第6条　知的財産権

当社の商標、ブランド、文章、表示、画像、グラフィック、商品レビュー、動画および音声、ならびにこれらのデザイン、選択および配置を含む本サービスは、LENS LiST、その関連会社またはライセンサーに帰属し、米国および外国の特許法、著作権法その他の知的財産法により保護されています。

本規約は、お客様に対して、個人的かつ非商業的な目的で本サービスを利用することのみを認めるものです。当社の事前の書面による同意なく、本サービス上の資料を複製、配布、変更、二次的著作物の作成、公衆への表示、公衆への実演、再公開、ダウンロード、保存または送信してはなりません。

本規約に明示的に定める場合を除き、本規約のいかなる内容も、LENS LiST、Shopifyまたは第三者の特許、商標、著作権その他の知的財産について、お客様にライセンスその他の権利を付与するものではなく、またそのように解釈されるものではありません。

本サービスの無断使用は、連邦法および州法上の知的財産法に違反する場合があります。本規約において明示的に付与されていないすべての権利は、LENS LiSTが留保します。

LENS LiSTの名称、ロゴ、商品名およびサービス名、デザインならびにスローガンは、LENS LiSTまたはその関連会社もしくはライセンサーの商標です。LENS LiSTの事前の書面による許可なく、これらの商標を使用してはなりません。Shopifyの名称、ロゴ、商品名およびサービス名、デザインならびにスローガンは、Shopifyの商標です。本サービス上に表示されるその他の名称、ロゴ、商品名およびサービス名、デザインならびにスローガンは、それぞれの所有者の商標です。

第7条　任意のツール

当社が監視、管理または関与していない第三者が提供する顧客向けツールへのアクセスが、本サービスの一部としてお客様に提供される場合があります。

お客様は、当社がそのようなツールへのアクセスを、いかなる種類の保証、表明または条件も付さず、「現状有姿」および「利用可能な状態」で提供することを確認し、同意するものとします。当社は、お客様による任意の第三者ツールの使用から生じる、または関連するいかなる責任も負いません。

本サイトを通じて提供される任意のツールの使用は、お客様自身のリスクおよび判断において行うものとします。お客様は、関連する第三者提供者が定めるツールの利用条件を確認し、これを承認していることを確認してください。

当社は、将来、本サービスを通じて新しい機能（新しいツールおよびリソースの提供を含みます）を提供する場合があります。そのような新しい機能も本サービスの一部とみなされ、本規約の対象となります。

第8条　サードパーティリンク

本サービスには、第三者が提供または運営するウェブサイトへの資料およびハイパーリンク（第三者の埋め込み機能を含みます）が含まれる場合があります。当社は、お客様がアクセスすることを選択した第三者の資料またはウェブサイトの内容もしくは正確性を確認または評価する責任を負いません。

お客様が本サービスを離れてこれらの資料または第三者のサイトにアクセスする場合、お客様自身のリスクで行うものとします。当社は、第三者のウェブサイトへのアクセス、または第三者のウェブサイト上の商品、サービス、リソースもしくはコンテンツの購入もしくは使用に関連する損害について責任を負いません。

第三者との取引を行う前に、当該第三者のポリシーおよび運用をよく確認し、その内容を理解してください。第三者の商品およびサービスに関する苦情、請求、懸念または質問は、当該第三者に直接お問い合わせください。

第9条　Shopifyとの関係

LENS LiSTは、Shopifyが提供する基盤を利用して、本サービスを提供しています。ただし、本ストアで行われる販売および購入は、LENS LiSTとの間で直接行われるものです。

本サービスを利用することにより、お客様は、LENS LiSTとの販売に関するいかなる事項についても、Shopifyが責任を負わないことを確認し、同意するものとします。これには、購入した商品およびサービスに起因する傷害、損害または損失が含まれます。

お客様は、LENS LiSTとの購入および取引から生じる、またはこれらに関連するすべての請求、損害および責任について、Shopifyおよびその関連会社を明示的に免責するものとします。

第10条　プライバシーポリシー

本サービスを通じて当社が収集するすべての個人情報には、当社のプライバシーポリシーが適用されます。また、一定の個人情報には、Shopifyのプライバシーポリシーも適用される場合があります。Shopifyのプライバシーポリシーは、［https://www.shopify.com/legal/privacy/consumers］で確認できます。

本サービスを利用することにより、お客様は、これらのプライバシーポリシーを読み、理解したことを確認するものとします。

本サービスはShopify上で運営されているため、Shopifyは、お客様に本サービスを提供および改善する目的で、お客様による本サービスへのアクセスおよび利用に関する個人情報を収集し、処理します。

お客様が本サービスに送信する情報は、サービスを提供するために、Shopifyならびにお客様が居住する国以外の国に所在する第三者に送信され、共有される場合があります。当社、Shopifyおよび当社のパートナーが個人情報をどのように利用するかについて詳しくは、当社のプライバシーポリシーをご確認ください。

第11条　フィードバック

お客様がアイデア、提案、フィードバック、レビュー、提案書、計画その他のコンテンツ（以下、総称して「フィードバック」といいます）を提出、アップロード、投稿、メール送信その他の方法で送信した場合、お客様は、当社に対し、当該フィードバックを、あらゆる媒体において、あらゆる目的（商業目的を含みます）で使用、複製、変更、公開、配布および表示するための、永続的、全世界的、再許諾可能かつ無償のライセンスを付与するものとします。

当社は、例えば、本サービスの運営、提供、評価、拡充、改善および宣伝、ならびに本規約に基づく義務の履行および権利の行使のために、このライセンスに基づく権利を使用する場合があります。

お客様は、次の事項も表明し、保証するものとします。

(1) すべてのフィードバックについて、所有権または必要なすべての権利を有していること。
(2) フィードバックの提出に関連して受け取った報酬またはインセンティブがある場合、その内容を開示していること。
(3) フィードバックが本規約に適合していること。

当社は、次の義務を負いません。

(1) お客様のフィードバックを秘密として保持すること。
(2) フィードバックに対する報酬を支払うこと。
(3) フィードバックに回答すること。

当社は、違法、攻撃的、脅迫的、名誉毀損的、中傷的、わいせつ、その他不適切である、または第三者の知的財産権もしくは本規約に違反すると当社が独自の裁量で判断したフィードバックについて、監視、編集または削除を行う場合がありますが、その義務を負いません。

お客様は、フィードバックが著作権、商標、プライバシー、人格権その他の個人的または財産的権利を含む第三者の権利を侵害しないことに同意するものとします。また、フィードバックに名誉毀損その他違法、虐待的またはわいせつな内容を含めないこと、ならびに本サービスまたは関連ウェブサイトの運営に何らかの影響を及ぼすコンピューターウイルスその他のマルウェアを含めないことに同意するものとします。

お客様は、虚偽のメールアドレスを使用したり、自分以外の人物を装ったり、フィードバックの出所について当社または第三者を誤認させたりしてはなりません。お客様が送信するフィードバックおよびその正確性については、お客様が単独で責任を負うものとします。当社は、お客様または第三者が投稿したフィードバックについて責任を負わず、いかなる責任も引き受けません。

第12条　誤り、不正確な情報および記載漏れ

本サービス上の情報には、商品説明、価格、キャンペーン、オファー、商品送料、配送期間および在庫状況に関する誤植、不正確な情報または記載漏れが含まれる場合があります。

当社は、注文送信後を含め、情報が不正確である場合、予告なくいつでも誤り、不正確な情報または記載漏れを訂正し、情報を変更もしくは更新し、または注文をキャンセルする権利を有します。

第13条　禁止される利用

お客様は、合法的な目的に限り本サービスにアクセスし、利用することができます。お客様は、直接または間接を問わず、次の目的で本サービスにアクセスまたは利用してはなりません。

(a) 違法または悪意のある目的。
(b) 国際的、連邦、州もしくは地域の規則、規制、法律または条例に違反する目的。
(c) 当社または他者の知的財産権を侵害または違反する目的。
(d) 当社の従業員その他の者に対する嫌がらせ、虐待、侮辱、危害、名誉毀損、中傷、誹謗、脅迫その他の行為。
(e) 虚偽または誤解を招く情報を送信すること。
(f) 本規約に適合しない資料を、故意に送信、受信、アップロード、ダウンロード、使用または再使用すること。
(g) 「迷惑メール」、「チェーンメール」、「スパム」その他これらに類する勧誘を含む広告または宣伝資料を送信し、または送信させること。
(h) 他の個人または団体になりすます、またはなりすまそうとすること。
(i) 本サービスの利用または享受を制限もしくは妨げるその他の行為、または当社が判断するところにより、LENS LiST、Shopifyもしくは本サービスの利用者に損害を与え、またはこれらを責任にさらす可能性のある行為。

さらに、お客様は次の行為を行わないことに同意するものとします。

(a) 本サービスの機能または運営に影響を及ぼす、または及ぼす可能性のあるウイルスその他の悪意あるコードをアップロードまたは送信すること。
(b) 本サービスの全部または一部を複製、二重化、コピー、販売、再販売または利用すること。
(c) 他人の個人情報を収集または追跡すること。
(d) スパム、フィッシング、ファーミング、プリテキスティング、スパイダー、クロールまたはスクレイピングを行うこと。
(e) 本サービス、関連ウェブサイト、他のウェブサイトまたはインターネットのセキュリティ機能に干渉し、またはこれを回避すること。

当社は、お客様が本規約のいずれかの部分に違反したと判断した場合、予告なくいつでもお客様のアカウントを停止、無効化または終了する権利を有します。

第14条　契約の解除・解約

当社は、独自の裁量により、いつでも予告なく、本契約またはお客様による本サービスへのアクセス（またはその一部）を終了することができます。お客様は、終了日までに発生したすべての未払い金額について、引き続き責任を負うものとします。

終了後も、知的財産権、フィードバック、終了、保証の否認、責任の制限、補償、分離可能性、権利放棄・完全合意、譲渡、準拠法、プライバシーポリシー、および性質上終了後も存続すべきその他の条項は、引き続き適用されます。

第15条　保証の否認

本サービス上または本サービスを通じて提供される情報は、一般的な情報提供のみを目的として提供されます。当社は、当該情報の正確性、完全性または有用性を保証しません。お客様が当該資料を信頼したことについては、お客様自身が厳格に責任を負うものとします。

当社は、お客様または本サービスの他の訪問者、あるいは本サービスの内容を知らされた者が当該資料を信頼したことから生じるすべての責任および義務を否認します。

LENS LiSTが明示的に定める場合を除き、本サービスおよび本サービスを通じて提供されるすべての商品は、お客様による利用のために、「現状有姿」および「利用可能な状態」で提供され、明示または黙示を問わず、商品性、商業的品質、特定目的への適合性、耐久性、権原および権利非侵害を含む、いかなる表明、保証または条件も付されません。

当社は、お客様による本サービスの利用が中断されないこと、適時であること、安全であること、またはエラーがないことを保証、表明または約束しません。一部の管轄区域では、黙示その他の保証の免責を制限または認めていないため、上記の免責が適用されない場合があります。

第16条　責任の制限

法律で認められる最大限の範囲において、いかなる場合も、LENS LiST、当社のパートナー、取締役、役員、従業員、関連会社、代理人、請負業者、サービス提供者もしくはライセンサー、またはShopifyおよびその関連会社のいずれも、お客様による本サービスもしくは本サービスを通じて購入した商品、またはその他お客様による本サービスもしくは商品利用に何らかの形で関連する請求について、契約、不法行為（過失を含みます）、厳格責任その他の根拠を問わず、いかなる種類の傷害、損失、請求、または直接的、間接的、付随的、懲罰的、特別もしくは結果的損害についても責任を負いません。

これには、逸失利益、逸失収益、逸失した節約、データの喪失、代替費用その他これらに類する損害が含まれますが、これらに限られません。また、コンテンツ上の誤りまたは記載漏れ、あるいは本サービスを通じて投稿、送信その他の方法で提供されたコンテンツまたは商品を利用した結果として生じた損失または損害も含まれます。当社がその可能性について知らされていた場合も同様です。

第17条　補償

お客様は、次の事項に起因または関連して第三者に支払われる合理的な弁護士費用を含む損失、損害、責任または請求について、LENS LiST、Shopify、当社の関連会社、パートナー、役員、取締役、従業員、代理人、請負業者、ライセンサーおよびサービス提供者を補償し、防御し、損害を与えないものとします。

(1) お客様による本規約または本規約が参照する文書の違反。
(2) お客様による法律または第三者の権利の違反。
(3) お客様による本サービスへのアクセスおよび利用。

当社は、補償の対象となる請求についてお客様に通知します。ただし、速やかに通知しなかった場合でも、その遅延によりお客様が実質的な不利益を被らない限り、お客様の義務は免除されません。

当社は、お客様の費用負担により、弁護士の選任を含め、当該請求の防御および和解を管理することができます。ただし、お客様に金銭以外の義務を課す和解については、お客様の同意なく行わないものとします。お客様は、関連書類の提供を含め、補償対象の請求の防御に協力するものとします。

第18条　分離可能性

本規約のいずれかの条項が違法、無効または執行不能と判断された場合でも、当該条項は適用法が認める最大限の範囲で執行可能なものとし、執行不能な部分は本規約から分離されたものとみなされます。この判断は、残りの条項の有効性および執行可能性に影響を及ぼしません。

第19条　権利放棄・完全合意

当社が本規約の権利または条項を行使または執行しなかった場合でも、当該権利または条項を放棄したことにはなりません。

本規約ならびに当社が本サイト上または本サービスに関して掲載する各種ポリシーおよび運用規則は、当社とお客様との間の完全な合意および了解を構成し、お客様による本サービスの利用を規律します。これらは、本規約の以前の版を含む、口頭または書面による従前または同時期の合意、連絡および提案に優先します。

本規約の解釈における曖昧さは、起草した当事者に不利に解釈されないものとします。

第20条　譲渡

お客様は、当社の事前の書面による同意なく、本契約または本規約に基づく権利もしくは義務を委任、移転または譲渡してはなりません。これを試みる行為は無効です。

当社は、お客様の同意または通知なく、本規約ならびに本規約に基づく当社の権利および義務を移転、譲渡または委任することができます。

第21条　準拠法および管轄

本規約および当社が本サービスを提供する個別の契約は、日本法に準拠し、日本法に従って解釈されます。本規約に起因または関連して生じる紛争については、お客様が居住する国の法律に基づき認められる強行的な消費者保護上の権利を妨げることなく、大阪地方裁判所を第一審の専属管轄裁判所とします。

第22条　見出し

本規約に使用される見出しは、便宜上設けられたものにすぎず、本規約を制限またはその他の方法で変更するものではありません。

第23条　本利用規約の変更

お客様は、いつでも本ページで本利用規約の最新版を確認することができます。当社は、独自の裁量により、本規約の一部を更新、変更または置き換える権利を有します。変更内容は、当社ウェブサイトに掲載することにより行います。お客様は、変更を定期的に確認する責任を負うものとします。

当社は、適用法に従い、本規約に重大な変更がある場合にはお客様に通知し、その変更は通知に指定された日に効力を生じるものとします。変更後も本サービスを継続して利用またはアクセスすることにより、お客様は当該変更を承諾したものとみなされます。

第24条　ポイント制度について

当社は、実店舗およびオンラインストアのいずれにおいても、ポイント制度を実施しておりません。そのため、商品の購入に対するポイントの付与はなく、購入場所を問わずポイントの付与・利用はできません。
