When you place an order, you are making an offer to purchase. LENS LiST reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until LENS LiST confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as LENS LiST may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the e‑mail, billing address, and/or phone number provided at the time the order was made.
Your purchases are subject to return or exchange solely in accordance with our Refund Policy [LINK].
You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.
Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.

LENS LiST’s names, logos, product and service names, designs, and slogans are trademarks of LENS LiST or its affiliates or licensors. You must not use such trademarks without the prior written permission of LENS LiST. Shopify’s name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

SECTION 7 - OPTIONAL TOOLS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

LENS LiST is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with LENS LiST. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and LENS LiST, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with LENS LiST.

You agree to indemnify, defend and hold harmless LENS LiST, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys’ fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims, including by providing relevant documents.

利用規約

「lenslist」（以下、「本サイト」といいます）は株式会社Lcode（以下、「当社」といいます）およびその他業務上提携関係にある会社が運営するサービスです。
当社の管理、運営を通じて提供するサービス（以下、「本サービス」といいます）をご利用するに当たって、利用規約（以下、「本規約」といいます）を以下のとおり定めます。
なお、本サービスをご利用される方は、以下の条件にご承諾頂いたことになります。

第1条　本規約の範囲及び変更
本規約は、本サービスをご利用されるすべての方に適用されるものとします。
本サービスの一部は、会員のみが利用することができるものとします。
当社は、ご利用される方の事前承諾を得る事なく、本規約および本サービスの内容の変更を行えるものとします。

第2条　会員
lenslist会員（以下、「会員」といいます）とは、本規約を承諾した上で当社所定の手続に従い登録を申請し、当社がこれを承認した方をいいます。
会員は、本サービスで、当社が会員向けに提供するインターネット上のサービスがご利用になれます。

第3条　会員の登録
会員登録希望者は、本サービスのメンバー登録ページにおいて当社の指定する必要事項を入力し登録申請した時点で本規約の内容を承認したものとします。
会員登録希望者が本規約を承認の上、規定の会員登録手続を完了した後、会員希望者が通知した電子メールアドレス宛に正式なパスワードを当社が発送した時点をもって、会員登録が成立します。
当社は、以下のいずれかに該当する場合、会員登録申請を承認しない場合があります。

会員登録希望者が既に会員になっている場合
未成年者（18歳未満）において親権者の同意がない場合
入会希望者が過去に本規約違反をしたことなどにより、会員登録の抹消などの処分をうけていることが判明した場合
入会希望者の申請内容に、虚偽の事項が含まれている場合
その他登録申請を承認することが不適当であると当社が判断する場合
第4条　登録内容の変更
会員は、会員の氏名、住所、電話番号、電子メールアドレス等、会員登録申込において届け出た内容に変更があった場合には、速やかに所定の変更を自ら行なうものとします。
会員は、前項の届出を怠った場合に、当社からの通知が不到達となっても、通常到達すべきときに到達したとみなされることをあらかじめ異議なく承諾するものとします。
会員は、パスワードの紛失等の場合には、本サービス上で自ら確認するものとします。

第5条　本サービスの利用停止、会員登録の抹消
当社は、会員は以下の各号のいずれかに該当する場合、会員に事前通知することなく本サービスの利用停止または会員登録を抹消するものとします。

過去に本規約違反をしたことなどにより会員登録の抹消などの処分をうけていることが判明した場合
会員登録申込において、虚偽の申告を行ったことが判明した場合。
本サービスに関する料金などの支払債務の履行を遅延、その他の履行があった場合
禁止事項（第12条）の行為を行った場合
手段を問わず、本サービスの運営を妨害した場合。
会員として不適切と当社が判断した場合。
その他、本規約に違反した場合
会員資格が抹消された場合、当該会員は、当社に対する債務の全額を直ちに支払うものとします。
会員資格が抹消された場合、当社は、既に支払われた代金等の払戻義務を一切負わないものとします。

第6条　IDおよびパスワードの管理
会員は、会員自身で設定したユーザIDおよびパスワードの管理責任を負うものとします。
会員は、ユーザIDおよびパスワードを第三者に利用させたり、譲渡、貸与、名義変更開示、または売買等してはならないものとします。
会員は、ユーザIDおよびパスワードの管理不十分、使用上の過誤または第三者の使用などに起因する損害につき自ら責任を負うものとし、当社は一切責任を負いません。
会員は、ユーザIDおよびパスワードが盗まれたり、第三者に使用されていることを知った場合には、直ちに当社にその旨を、直接的即時的手段により、連絡するとともに、当社からの指示がある場合には、これに従うものとします。
利用者は、本サービス利用の際に行うクレジットカード番号の送信行為等の決済手段に伴う漏洩等の危険性を認識し、自己の責任の下にこれを行うものとします。（第13条に記載）

第7条　退会
会員が退会を希望する場合には、当社の指定する手続きにより、いつでも退会することができます。
会員が退会した場合、会員が退会に伴って当社に対して、何らかの請求権を取得することは一切ありません。

第8条　会員資格
会員の資格は、第5条、第7条または第15条の定めに基づき、会員が退会の手続きをし、または会員資格を喪失し、もしくは本サービスが中止されるまで有効なものとします。

第9条　利用前の準備
会員は、自己の責任と負担において、本サービスを利用するために必要な通信機器並びにソフトウェア、およびインターネット接続契約等の付帯費用を準備するものとします。

第10条　ユーザ情報の利用
会員が会員登録申込を行った際に知り得た情報、または会員が本サービスを利用する過程において、当社が知り得た情報に関し、以下の各号に該当する場合を除き、当社は、これらの情報を第三者に開示しないものとし、会員は、以下の各号に該当する場合、これらの情報を当社が開示することに同意します。

会員が、限定個人情報(会員の氏名、住所、電話番号、電子メールアドレス等)の開示について同意している場合。
当社が、本サービスの利用動向を把握する目的で収集した統計個人情報(会員の個人が特定できない情報群)を開示する場合。
当社が、本サービスを維持運営するために本サービス協力会社、または提携会社との間において、本サービスを維持運営するために必要な範囲で相互に開示、提供する場合。
法令により開示が求められた場合。
第11条　会費等
会員は、当社に対して本サービス利用のための会費を支払う必要はありません。ただし、本サービスにおいて提供される商品、サービス等の対価は各々の表示価格に従ってお支払いいただきます。

第12条　禁止事項
会員は、本サービスの利用に当たって、以下の行為を行ってはならないものとします。

他の会員、第三者もしくは当社の著作権またはその他の権利を侵害する行為、および侵害するおそれのある行為。
他の会員、第三者もしくは当社の財産またはプライバシーを侵害する行為、および侵害するおそれのある行為。
他の会員、第三者もしくは当社に不利益または損害を与える行為、および与えるおそれのある行為。
本規約及び本サービスに基づく権利義務を第三者に譲渡する行為。
法令に違反する、または違反するおそれのある行為。
犯罪的行為、または犯罪的行為に結び付く行為、もしくはそのおそれのある行為。
公序良俗に反する行為、またはそのおそれのある行為、もしくは公序良俗に反する情報を他の会員または第三者に提供する行為。
宗教、政治に関する活動。
当社の承諾なく、本サービスを通じて、または本サービスに関連して、営利を目的とした行為、またはその準備を目的とした行為。
ユーザIDおよびパスワードを不正に使用する行為。
コンピューターウィルス等の有害なプログラムを本サービスを通じて、または本サービスに関連して使用し、もしくは提供する行為。
その他、当社が会員として不適切と判断する行為。
前項各号に該当する会員の行為によって当社および第三者に損害が生じた場合、会員資格を喪失した後であっても、会員はすべての法的責任を負うものとし、当社に迷惑をかけないものとします。

本サービスを構成するすべてのプログラム、ソフトウェア、サービス、手続き、商標、商号は、別段の表示がない限り、当社に帰属するものとします。
会員は、本サービス上にアップロードした情報またはファイルについて、知的所有権を保有せず、また何らの請求権も保有しないものとします。
会員は、本サービス上にアップロードした情報またはファイルについて、それらを複製し領布する権利または削除する権利を当社に与えたものとします。
会員は、アップロードした情報またはファイルについて生じたすべての法的責任を負うものとします。

第14条　著作権
会員は、本サービスを通じて提供される記事、画像等いかなる情報またはファイルについて、当社が承認した場合を除き、複写、複製、転載、販売、出版、その他いかなる方法によっても会員自身による個人としての利用以外使用することはできません。
前項の規定に違反して紛争が発生した場合、会員は、自己の費用と責任において、当該紛争を解決するとともに、当社をいかなる場合においても免責し、当社が被った損害を賠償するものとします。

第15条　本サービスの中止・中断
当社は、以下の事項に該当する場合、本サービスの運営を中止・中断できるものとします。

本サービスのシステムの保守を定期的にまたは緊急に行う場合。
戦争、暴動、騒乱、労働争議、地震、噴火、洪水、津波、火災、停電、システム障害、その他の不可抗力事由により、本サービスの提供ができなくなった場合。
その他、当社が、本サービスの運営上、中止または一時的な中断が必要と判断した場合。
当社は、前項の規定により、本サービスの運営を中止・中断するときは、あらかじめその旨を会員に通知するものとします。ただし、緊急事態等、やむを得ない場合は、この限りではありません。
当社は、第1項に基づく本サービスの中止・中断などの発生により、会員または第三者が被ったいかなる損害について、理由を問わず一切の責任を負わないものとします。

第16条　免責事項
当社は、本サービスのサービスの内容、および会員が本サービスを通じて得る情報等について、その完全性、正確性、確実性、有用性等のいかなる保証も行わないものとします。
本サービスの提供、遅滞、変更、中断、中止、停止もしくは廃止およびサービスを通じて提供される情報等の流出もしくは消失等、またはその他サービスに関連して発生した利用者の損害について、当社は一切の責任を負わないものとします。

第17条　準拠法
本規約の成立、効力、履行および解釈に関しては日本国が定める法律、法令、政令が適用されるものとします。

第18条　管轄裁判所
本サービスに関連して、会員と当社との間で紛争が生じた場合には、当該当事者がともに誠意をもって協議し、円満にその解決を図るものとします。
前項の協議をしても解決しない場合、大阪地方裁判所を第一審の専属管轄裁判所として処理するものとします。
付則:本規約は、2015年8月3日より実施するものとします。
